CIPC won't accept my annual return. Why?

Short answerThe most common reason is the beneficial ownership declaration. CIPC will not let a company or close corporation file its annual return until its latest beneficial ownership declaration is on record. File or confirm the declaration first, then go back and complete the annual return.

What happens if you leave it

Common questions

I filed beneficial ownership last year. Why is it blocked now?

CIPC expects the declaration to be confirmed every year, even with no changes. Confirm it, then file the annual return.

Can I file the annual return first?

No. CIPC requires the latest beneficial ownership declaration before the annual return.

What if my annual return is already late?

File the declaration and the annual return as soon as you can. CIPC adds a penalty fee for late annual returns, and long non-compliance can lead to deregistration.

Can FilingFlowSA fix this for me?

Yes. We file the declaration and then the annual return. If we find overdue returns, we tell you the extra cost and get your approval first.
